GrantAPT Private Beta Terms

These Terms are an agreement between you and Eshaan Prashanth, doing business as GrantAPT in North Carolina, USA ("GrantAPT"). They govern the invitation-only GrantAPT private beta, including incorporated beta and acceptable-use terms (the "Service"). You must be at least 18 and, when acting for an organization, authorized to bind that organization.
1. Acceptance and permitted use
You may use the Service only for your organization's internal testing, evaluation, and authorized grant-related work. Access begins when GrantAPT activates your account and you affirmatively accept the current Terms and Privacy Notice. Keep independent copies of source documents, drafts, and final submissions.
2. Accounts and prohibited conduct
Keep credentials confidential, use only your assigned account and organization, and promptly report suspected unauthorized access. You are responsible for activity through your account to the extent allowed by law. You may not share invitations; bypass access, rate, tenant, security, or cost controls; introduce malware; spam; violate law or third-party rights; use the Service for competitive analysis or public benchmarking; scrape or resell restricted content; or upload credentials, payment-card data, protected health information, unnecessary government identifiers, export-controlled information, or confidential material you lack authority to process.
3. GrantAPT ownership and restrictions
GrantAPT and its licensors own the Service, source code, object code, designs, interfaces, documentation, branding, visual assets, workflows, and other GrantAPT materials. Your organization retains its rights in content it submits, and third-party and open-source materials remain subject to their owners' rights and licenses. Except where applicable law gives a nonwaivable right, you may not copy, modify, adapt, translate, create derivative works from, decompile, disassemble, reverse engineer, reconstruct, or attempt to discover the source code or underlying ideas of the Service.
4. Confidential beta information
Nonpublic features, interfaces, screenshots, recordings, designs, plans, bugs, security information, performance or benchmark results, and nonpublic communications about the beta are GrantAPT confidential information. You may use them only to evaluate the Service and may not publish, stream, post, tweet, blog, disclose, or discuss them outside your authorized organization without GrantAPT's written permission. This restriction does not cover information you can document was already public without breach, lawfully known without restriction, independently developed, or rightfully received from another source. Legally compelled disclosure is permitted after advance notice when lawful. These duties survive for three years after access ends; trade secrets remain protected while they qualify as trade secrets.
5. Feedback
You grant GrantAPT a perpetual, worldwide, irrevocable, transferable, sublicensable, royalty-free license to use, reproduce, modify, create derivative works from, commercialize, and otherwise exploit feedback, bug reports, feature requests, and suggestions without compensation or attribution. This license does not transfer ownership of your preexisting materials or authorize publication of your name, organization, private content, recording, or testimonial without separate permission.
6. Your content and privacy
You retain rights in content you submit and give GrantAPT a limited license to host, copy, transmit, parse, transform, display, secure, back up, and otherwise process it to provide the Service, perform your instructions, support users, enforce these Terms, and comply with law. The Privacy Notice describes collected information, service providers, analytics, storage, transfers, and choices. Do not use the beta as the only copy of any live or production data.
7. AI and grant-information limitations
AI-assisted features run only after an authorized command and may send selected task content to the configured provider. Output, listings, deadlines, eligibility signals, summaries, historical awards, budgets, and source excerpts may be incomplete, outdated, biased, fabricated, or wrong. GrantAPT provides decision-support software, not legal, financial, tax, accounting, audit, compliance, or other professional advice. You must verify all material information against official sources and remain responsible for final decisions and submissions. GrantAPT does not guarantee eligibility, funding, submission, compliance, or any outcome.
8. Beta term and termination
These Terms begin when you accept them and continue until GrantAPT ends your access, ends the beta, or commercially launches a version governed by replacement terms. GrantAPT may suspend or terminate an account or the beta at any time, for any lawful reason, with or without notice. On termination, stop using the Service and delete downloaded GrantAPT software and nonpublic assets. Sections concerning ownership, confidentiality, feedback, disclaimers, liability, disputes, and terms that by their nature should survive will survive.
9. No warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR RESULTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRANTAPT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST GRANTS, REVENUE, PROFITS, GOODWILL, OR BUSINESS; OR LOSS OR CORRUPTION OF DATA, HARDWARE DAMAGE, SYSTEM CRASHES, SERVICE INTERRUPTION, OR SERVER DOWNTIME, EVEN IF ADVISED OF THE POSSIBILITY. GRANTAPT'S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNT YOU PAID GRANTAPT FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.
11. North Carolina law and disputes
North Carolina law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, each party will give written notice and attempt in good faith to resolve it for 30 days. Subject to any nonwaivable right, the state and federal courts located in North Carolina have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.
12. General
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions remain effective. A waiver must be written and is not a continuing waiver. You may not assign these Terms without GrantAPT's written consent. These Terms, the incorporated acceptable-use and beta provisions, the Privacy Notice, and any signed organization addendum are the entire agreement about the beta and replace prior discussions on that subject. Electronic acceptance and records have the same effect as written ones.
13. Changes and contact
GrantAPT may update these Terms prospectively. Material changes require renewed acceptance before continued authenticated use. Legal, privacy, security, or support questions may be sent through Support or to support@grantapt.com.
